CAUTIONARY ANNOUCEMENT

The Board of Directors (“the Board”) of CIEL Textile Limited (“the Company”) wishes to inform its shareholders and the public in general that it has been made aware that The Beau Champ Holding Company Limited (“BCH”) is considering an offer by I&P Capital (II) Ltd, a private equity fund incorporated in Mauritius, for the purchase of 27,018,232 ordinary shares representing 26.54% held by BCH in the Company (“the Transaction”).

The Transaction is expected to take place within the next ten days on the crossing board of The Stock Exchange of Mauritius, subject to the Trading Procedures applicable on the Development & Enterprise Market.

Shareholders and the public in general are advised to exercise caution in dealing with the shares of the Company.
